Cart AI UGC Creator Program - Terms & Conditions

Please read these terms and conditions carefully before signing up in the Cart AI UGC Creator Program.

Eligibility & Participation

• Open to all content creators, regardless of following size.

• Content must align with Cart AI’s UGC guidelines and focus on shopping-related themes.

• Cart AI reserves the right to reject content that does not meet quality or brand standards.

Content Rights & Duration

Creators retain ownership of their content.

Creators grant Cart AI a non-exclusive license to feature submitted content on Cart AI’s official channels for a period of six months. Cart AI may use the submitted content in marketing materials, social media, advertisements, and promotional campaigns during the six-month license period.

Content must remain live for at least 30 days (30D). If a creator removes content before 30 days, they forfeit any unpaid earnings.

After 30D, the creator may choose to:

• Remove the content (no additional payments for views past removal). The creator must post the content on their own account to qualify for payouts.

• Renew for another 30D under the standard earnings matrix.

• Request a retainer collaboration if their content performs well.

Tracking & View Verification

View counts are verified by Cart AI based on platform analytics. Cart AI's verified view count will be considered final in determining payouts, regardless of public platform metrics.

Finalized view counts will determine earnings for the selected payout cycle (7D or 30D).

Payment Structure

Payout Options

Creators can choose between:

• 7-Day Payout (7D): Earnings based on views after 7 days.

• 30-Day Payout (30D): Final earnings calculated based on total views within 30 days.

If a creator requests a 7D payout, the remaining views within 30D will be adjusted (payout is deducted from final 30D total).

Payout Scenarios & Adjustments

If a creator requests a 7D payout and their video continues to gain views afterward, their final 30D payout will be adjusted to deduct the amount already paid. For example, if a video gets 500,000 views in the first 7 days and then reaches 1.2 million views within 30 days, the creator will receive a payout for the first 500,000 views at 7D, and the remaining 700,000 views will be covered in the 30D payout.

If no 7D payout is requested, the full payout will be processed at the 30-day mark based on total views. This ensures fair compensation while maintaining a structured payout system.

Earnings Per View & Payment Cap

The earnings per view matrix (CPM-based) will be sent via email and may be updated without prior notice. Changes to the earnings per view matrix will apply only to content posted after the update and will not affect payouts for videos already live.

A maximum earning cap will be set per video to ensure fair payouts.

Payment Processing

Payments will be processed via bank transfer or cryptocurrency (stablecoins) only. If a 7D payout is issued and the video does not generate additional significant views within the 30D period, no further payments will be made.

Creators are responsible for any transaction fees associated with payments.

Cart AI reserves the right to delay or withhold payments if fraudulent activity is suspected, including artificial view inflation or bot-generated engagement.

Retainer Collaboration Option

Creators who have successfully completed a 30D period with strong engagement may request a retainer collaboration instead of renewing under the standard earnings matrix.

Retainer collaborations will be evaluated based on engagement quality, audience retention, and consistency in content performance and may include fixed payments or long-term content partnerships. Retainer collaborations are by invitation only.

Cart AI reserves the right to approve or decline retainer requests.

Governing Law

These terms shall be governed by and construed in accordance with the laws of Delaware, United States, excluding its conflict of law rules. Your participation in the Cart AI UGC Creator Program may also be subject to other local, state, national, or international laws.

Dispute Resolution

Any disputes arising under or related to these terms should first be resolved informally by contacting Cart AI. If no resolution is reached, disputes shall be resolved through arbitration or legal proceedings in Delaware, United States. Cart AI reserves the right to seek legal action against fraudulent activities or breaches of these terms.

United States Legal Compliance

By participating, you confirm that:

• You are not located in a country subject to U.S. government embargoes or designated as a "terrorist-supporting" country.

• You are not listed on any U.S. government restricted parties list.

Severability and Waiver

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure by Cart AI to enforce any provision shall not be considered a waiver of that provision.

Translation Interpretation

These Terms and Conditions may have been translated if Cart AI has made them available in multiple languages. The original English text shall prevail in case of any dispute.

Changes to These Terms and Conditions

Cart AI reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, Cart AI will make reasonable efforts to provide at least 30 days' notice before new terms take effect.

By continuing to participate in the Cart AI UGC Creator Program after any updates, you agree to be bound by the revised terms.
